| 英文摘要 | 国有企业的所有者缺位、经营目标多元化、缺乏足够的监督和激励机制导致企业效率低下，而民营化可以解决所有者缺位问题、企业目标多元化和缺乏监督激励等问题，从而可以提高企业效率。但是，在我国“国退民进”的背景下，存在许多公司民营化后业绩表现没有明显改善反而持续恶化。本文选取2006年后发生民营化且总经理未变更的民营化上市公司（总共6家）进行分析，发现这6家公司中有3家民营化后绩效恶化而有2家公司绩效明显改善，1家改善效果较弱，有5家公司营运效率都得到改善。在此基础上，本文从民营化公司的控股股东的收购意图、公司治理、管理层能力和公司战略等方面进行深入分析，发现第一大股东“掏空”，控股股东“借壳上市”的意...; The absence of the ownership of state-owned enterprises, diversified objectives, lack of adequate supervision and incentives result in low business efficiency, and privatization can solve the problem of the absence of the owner, the business goals of diversity and lack of monitoring incentives and other issues, which can improve enterprises’ efficiency.
