| 英文摘要 | 内容提要 现代公司制企业中普遍存在着委托代理关系。由于信息不对称、委托人与代理人目标函数不一致等原因往往产生代理问题。我国经营性国有资产管理存在着所有者缺位、政企不分、所有权与经营权混同等缺陷，尤其是国有独资公司存在的问题更为复杂和严重。这是因为国有独资公司出资人的单一性与国有资产全民性，以及所有权与经营权分离所产生的委托代理关系使然。对此，本文以企业产权理论和委托代理理论为基本理论框架，在国内专家学者大量卓有成效的研究基础上，吸收和借鉴了国外有关公司治理的理论研究成果，比较分析了国外有关公司治理和国有资产管理模式的做法和经验，联系我国经营性国有资产管理和处于竞争性行业的商贸流通业国有独...; Abstract In modern corporate enterprises, proxy relationships are common.
