| 英文摘要 | 我国员工持股制度发展并不完善，在公司自治的大背景下，依据公司章程规定，限制员工股流转或禁止转让的规定屡见不鲜。保障私法自治应当得到法律的确认。但在保障员工权益方面，如保障员工持股运行的配套机制上，与员工持股制度发展较为完善的国家相比，仍有众多缺陷。一方面，企业实施员工持股制度，是希望能够发挥出激励机制的作用，并使员工能够长期为企业效劳。而另一方面，禁止员工股转让的规定，限制了雇员的权利，违反了股权转让自由的原则。如何在两者之间寻求一种两全的机制，如何既保障员工的权利又不损害企业的利益？ 探寻员工股流转的保障机制一方面能够保障员工的利益，另一方面，在促进相关制度的发展上也有作用。本文在对以美国...; Development of employee shareholding system is not perfect, in the context of corporate autonomy, according to the articles of association, to limit or prohibit the transfer of employee stock transfer provisions are common.
