| 英文摘要 | 我国在中外合资合作领域自英美引入合资意向书这一制度，一方面作为行政审批之必要材料，另一方面帮助投资者确定双方的合作意向，阐明双方所讨论的各项实质性问题，为双方下一步的谈判提供基础。但对于合资意向书双方的权利义务分配以及对法律效力和法律责任的认识处于模糊状态，因此本文试对意向书的法律效力及其法律责任进行探讨，以期为该方面的实践提供理论支持。 文章第一章在简要介绍合资意向书的概念和特征之后，以案例研究的方法将34份合资意向书研究样本的内容和条款进行分类，并详细阐述了各种条款的内容和特点。 由于合资意向书仍属于意向书范畴，其性质与意向书息息相关。因此第二章以比较研究的方法简述了我国以及英美法系国...; In China, the letter of intent regarding joint venture was introduced from the common law system.
