英文摘要	公司担保在学界和司法实务部门一直以来都是一个充满争议的话题。2005年新修订的《公司法》第16条认首次正面肯定与认可了公司的对外担保能力，但是因为该条片面规定行为模式回避违法后果的立法模式，造成学界与司法实务部门对违反该条款的公司担保合同的效力为何争议不断。目前学界认为较为合理的裁判思路为结合《公司法》、《合同法》和《担保法》三部法律的相关规定，从法定代表人越权的角度来认定公司违规担保合同的效力。在此种裁判思路中，对于相对人是否应当负审查义务，学界与司法实务部门争议不断。本文从目前学界几种关于相对人是否应当承担审查义务的主流观点入手，运用实证分析的方法得出目前司法实务部门的主流观点是相对人不应...; The corporate guarantee issue has always been a controversial issue in the judicial practice department and the scholars.
