英文摘要	股权结构是公司治理项下的重要内容，其中股东投票权的配置和实现方式更是对股东权益的保障、公司经营管理有着至关重要的作用。在美国，双层股权结构是公司治理创新实践与发行不同投票权股份相衔接而产生的制度安排，体现了更高程度的公司自治。相较之下，我国立法与实践在股权结构的选择上，仍坚持一股一权的传统模式，并无允许股份公司设立双层股权结构的规定及制度保障。为此，本文将采用比较研究、实证分析、文献研究的方法，对双层股权结构之于公司治理的合法性与合理性进行深入探析。第一部分，解析双层股权结构之内涵，辨析其与同股同权、优先股制度之区别，并分析其适用环境。第二部分，以公司法理论如代理理论、企业契约理论为出发点，论...; Share structure is an important issue of corporate governance.
