英文摘要	股东表决权回避制度是在特定情况下，对利害关系股东的表决权进行暂时限制的一种程序规则。该制度是对资本多数决原则的修正，也是对实质公平的尊重和确认。不仅有存在之必要，更需要完善相关规则。我国新修订的《公司法》明确规定，在公司为某股东提供担保时，该股东应当回避表决，事实上，这样规定有失偏颇，无法满足公司实践的需求。本文旨在针对我国股东表决权回避制度的缺陷予以合理矫正，以期进一步完善我国的相关制度。 文章共分为前言、正文、结语三个部分。前言部分结合股东表决权回避制度的立法背景，指出该制度确立之必要以及在我国的现状，表明本文主张完善股东表决权回避制度的立场和目的。正文分为三章，第一章为股东表决权回避的...; The exclusion system of the shareholder’s voting right is a procedural rule to temporarily restrain the interested shareholder’s voting right under special circumstances.
