中文摘要	近期全球范围内的金融危机引发了学术界和业界对于金融市场和金融机构各个层面不完善因素的讨论,危机对于银行各利益相关方所带来的损害体现出银行的公司治理机制可能存在一定问题,而在法律制度和契约之外,商业伦理规范在公司治理体系中亦发挥着重要的影响。正基于此,本文从管理语义学角度,选取中美两国有代表性银行的年度报告中,CEO致股东的信件为研究对象,从发展观、规模观、竞争观、成就观等角度,分析银行及其管理层的伦理选择,进而探讨伦理规范在公司治理体系中可能发挥的影响。随后以相同的手法审视中国银行业中几家样本银行,在比较分析的基础上得到了有益的启示。; The recent worldwide financial crisis triggered discussion in both academic and industrial field, which is about imperfect factors in each aspect of financial markets and institutions. The crisis made a huge damage to all stakeholders related to banks. It showed that there might be problems existing in the corporate governance system banking. And besides institutional rules and contracts, business ethics also play an important role within corporate governance system. Hence, based on managerial semantics, this article studies the CEO letters to shareholders in annual reports of typical banks in U.S. It analyzes the ethical decisions in U.S. banks and their managements from the attitudes towards development, business scale, competition and achievement. It also studies the potential influence of business ethics in corporate governance system. Then it studies the typical banks in Chinese banking with a similar method. Some heuristic conclusions are drawn from the analysis and comparison between Chinese and U.S. banking.; 中国式企业管理科学基础研究项目资助(项目编号:041511032)
